1. Parties
This Mutual Non-Disclosure Agreement ("Agreement") is entered into between Digital Boosters IT Center (Pvt) Ltd ("Company"), registered with SECP (CUIN: 0242377), and the undersigned Client ("Client"), collectively referred to as "the Parties."
2. Purpose
Both Parties wish to explore and engage in a professional business relationship. In the course of this engagement, each Party may disclose confidential and proprietary information to the other. This Agreement sets forth the terms under which such information will be protected.
3. Confidential Information
"Confidential Information" means any and all information disclosed by either Party, including but not limited to: brand strategies, product formulations, pricing, customer data, campaign plans, business plans, financial terms, technical processes, creative content, and any other non-public information.
4. Obligations
Each Party agrees to: (a) keep all Confidential Information strictly confidential; (b) not disclose such information to any third party without prior written consent; (c) use the Confidential Information solely for the purpose of the agreed engagement; (d) protect the information with the same standard of care used for its own confidential information.
5. Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving Party; (b) was already known to the receiving Party prior to disclosure; (c) is required to be disclosed by law or court order.
6. Duration
This Agreement shall remain in effect for the duration of the business engagement and for a period of two (2) years following its termination.
7. Return of Information
Upon request or termination, each Party shall promptly return or permanently destroy all Confidential Information received from the other Party.
8. No License
Nothing in this Agreement grants either Party any rights in or to the Confidential Information of the other Party except as expressly set forth herein.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.
10. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior discussions and understandings relating to confidentiality.
